END USER LICENSE AGREEMENT (EULA)

PLEASE READ THIS END USER LICENSE AGREEMENT (“AGREEMENT”) CAREFULLY BEFORE USING THE SOFTWARE AND SYSTEMS PROVIDED BY SGBI INC. (“LICENSOR”). BY USING OR ACCESSING THE SOFTWARE, FIRMWARE, HARDWARE, OR ANY COMPONENT THEREOF (COLLECTIVELY, THE “SOLUTION”), YOU (“LICENSEE” OR “USER”) AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT.
IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT INSTALL, ACCESS, OR USE THE SOLUTION.

1. LICENSE GRANT
   
   Subject to the terms and conditions of this Agreement, SGBI Inc. grants you a non-exclusive, non-transferable, non-sublicensable license to use the Solution solely for your internal business purposes in accordance with any accompanying documentation.
   
   
2. RESTRICTIONS
   
   You shall not:
   (a) Copy, reproduce, distribute, or disclose the Solution except as expressly permitted;
   (b) Modify, translate, reverse engineer, decompile, or disassemble the Solution, except as expressly allowed under applicable law;
   (c) Rent, lease, or sublicense the Solution to any third party;
   (d) Circumvent or disable any features or technological protection measures of the Solution;
   (e) Use the Solution in any manner that violates any applicable laws or regulation
   
   
3. INTELLECTUAL PROPERTY
   
   All rights, title, and interest in and to the Solution, including all related intellectual property rights, are and shall remain the sole and exclusive property of SGBI Inc. This Agreement does not convey any ownership rights.
   
   
4. WARRANTY DISCLAIMER
   
   The Solution is provided “AS IS” and without warranties of any kind. To the maximum extent permitted by applicable law, SGBI Inc. disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation warranties of merchantability, fitness for a particular purpose, and non-infringement.
   
   
5. LIMITATION OF LIABILITY
   
   In no event shall SGBI Inc. be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, data, or business opportunities, even if advised of the possibility of such damages. SGBI Inc.’s total cumulative liability under this Agreement shall not exceed the fees paid by Licensee for the Solution.
   
   
6. TERMINATION
   
   This Agreement is effective until terminated. It will terminate automatically without notice if you breach any of its terms. Upon termination, you must immediately cease all use of the Solution and destroy all copies in your possession.
   
   
7. GOVERNING LAW
   
   This Agreement shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be brought in the state or federal courts located in San Francisco County, California.
   
   
8. EXPORT CONTROLS
   
   You agree to comply with all applicable export laws and regulations. You shall not export or re-export the Solution in violation of U.S. law or to any prohibited country or entity.
   
   
9. ENTIRE AGREEMENT
   
   This Agreement constitutes the entire agreement between you and SGBI Inc. with respect to the Solution and supersedes all prior or contemporaneous understandings or agreements, whether written or oral.
